How service delivery works
Specific deliverables, timelines, and scope are agreed in writing at the start of each project
All work is delivered digitally — files, credentials, and access are handed over electronically
Changes to agreed scope are handled through a written change order with updated pricing if applicable
We reserve the right to decline projects that conflict with our values or capabilities

Client Responsibilities
Good work requires collaboration. To make sure your project goes smoothly, clients agree to:
Provide accurate and complete information about your business, services, and goals
Respond to requests for information, feedback, or approvals within 5 business days
Provide necessary access — hosting credentials, domain access, Google Business login — in a timely manner
Review and approve deliverables promptly; delays in approval may affect project timelines
Pay invoices according to the agreed payment schedule
Communicate feedback clearly and in writing so we can act on it accurately
Delays caused by a client's slow response or missing approvals do not extend our delivery obligations or entitle you to a refund.

Payment Terms
General payment policy
Setup fees are due before work begins
Monthly retainers are billed on the 1st of each month
Invoices are payable within 7 days of receipt
Late payments are subject to 1.5% monthly interest on the outstanding balance
Project deposits
A 50% deposit is required before work begins on any project
The remaining 50% is due upon project completion and before final files are transferred
Deposits are non-refundable if the client cancels after meaningful work has begun — we will credit the deposit toward future work if you pause and restart within 6 months

Intellectual Property
Work we create for you
Upon receipt of full payment, you own the final website, written content, and custom graphics we created for your project
We retain the right to display completed work in our portfolio and describe the project in our case studies — we'll always ask before identifying your business publicly
What we retain ownership of
Our proprietary tools, internal systems, and processes
Code frameworks and libraries we developed prior to or independently of your project
Our internal documentation, templates, and methodologies
Third-party materials
Stock photography is licensed for your specific use — we'll confirm the license terms with each asset
Fonts are properly licensed for web use
Third-party plugins and libraries are subject to their own respective licenses

Confidentiality
We treat everything you share with us as confidential. We will not disclose to third parties:
Your business strategies, plans, or unreleased products
Financial information, pricing, or revenue data you share
Customer data or contact lists provided for marketing purposes
Technical credentials or system access details
We ask the same in return. Our pricing structures, internal processes, and any proprietary information we share during the course of working together should be kept confidential.

Chatbot & AI Services
Important things to know about Sova and our AI-powered services:
AI responses are generated automatically and may occasionally be imperfect, incomplete, or require clarification
We review and continuously improve chatbot responses and training data
AI-generated content in deliverables (social posts, SEO copy, chatbot responses) is reviewed and edited by our team before delivery
We do not guarantee 100% accuracy of AI-generated content — always review before publishing
If you have questions about how AI is used in a specific deliverable, just ask. We're transparent about what's AI-assisted and what's fully human-written.

Website Maintenance
For clients on a monthly maintenance plan, here's what to expect:
Routine updates (content changes, plugin updates, minor edits) completed within 5 business days of request
Security monitoring and basic performance checks included
Major redesigns, new page builds, or significant feature additions are not included in maintenance — these are quoted separately as project work
Maintenance plans can be paused with 30 days written notice and resumed without a setup fee within 12 months.

Limitation of Liability
We work hard to deliver excellent results, but some things are outside our control. Sovamoon is not liable for:
Loss of business revenue or profits
Indirect, incidental, or consequential damages of any kind
Outages or disruptions caused by third-party services — hosting, Google, Twilio, Anthropic, etc.
Specific SEO rankings or search positions — we implement best practices but cannot guarantee Google's algorithm
Issues arising from inaccurate information you provided to us
Client-provided content that infringes on third-party rights
Our maximum liability for any claim related to our services is limited to the total amount you paid us for the specific service in question during the preceding 3 months.

Service Termination
Standard termination
Either party may terminate ongoing services with 30 days written notice
Clients remain responsible for all fees incurred up to the termination date
Upon termination, we will deliver all completed work, files, and credentials owed to you
Ongoing monthly services stop at the end of the current billing period
Immediate termination
We reserve the right to terminate services immediately and without refund in cases of:
Non-payment after 30 days past the invoice due date
Abusive, threatening, or harassing behavior toward our team
Attempting to use our services for illegal or harmful purposes
Material violation of these terms

Dispute Resolution
We'd much rather resolve disagreements through honest conversation than through lawyers. If something goes wrong:
Contact us first at hello@sovamoon.com — most issues can be resolved quickly with direct communication
We commit to good-faith resolution and will respond within 5 business days
If direct communication doesn't resolve the issue within 30 days, both parties agree to attempt mediation before pursuing legal action
These terms are governed by the laws of New York State. Any legal proceedings would take place in New York.

Changes to Terms
We may update these terms as our services grow and change. When we do, we will:
Email active clients with a summary of significant changes
Post a notice on our website
Update the "Last Updated" date at the top of this page
Continued use of our services after updates are posted means you accept the revised terms. We encourage you to review this page periodically.
